5 clauses Boston biotech research agreement templates need before trials
Company form templates for Boston biotech research agreements need five clauses: confidentiality, material transfer, publication rights, IP, and investor terms.
What to take away
- The five clausesconfidentiality, material transfer, publication rights, IP and data ownership, and investor terms.
- Most problems are drafting problemsan undefined field of use, no outside date on publication review, silence on background IP.
- Hospitals redline indemnification first, then publication delay, then ownership of improvements.
- Publication review runs 30 to 60 days. Boston redlines often push it past 90.
- Bayh-Dole reporting applies when NIH money supported the work.
The five clauses, and what each must say
One operative sentence per clause does more than a page of recitals.
- Confidentiality.Tie the definition to the research purpose. Set a term and name the notice contact.
- Material transfer.List the materials and the permitted field of use. Name who may sign.
- Publication rights.Set a review window with an outside date. Make silence count as approval.
- IP and data ownership.Separate background IP, foreground inventions, and the data set.
- Investor terms.Cover invention assignment, disclosure schedules, and notice of third-party claims.

Five-Clause Research Agreement Checklist
- Confidentiality clausedefines confidential info, duration, disclosures
- Material transfer agreementlists materials, uses, ownership, liability
- Publication rightssets review period, patent delay, exceptions
- IP ownershipstates invention ownership, background IP, joint inventions
- Investor-facing clausesincludes assignment, non-compete, disclosure
Check each clause against a written list rather than memory. Our policy templates checklist covers what a serious checklist holds.
Confidentiality tied to a research purpose
Keep the definition tied to the study. Boston hospitals and universities add rules on patient data and unpublished results that a generic clause ignores. Massachusetts courts enforce clauses that are reasonable in scope and duration.
Sample wording: "Confidential Information means non-public data, materials and results disclosed by either party for the purpose of the Research, excluding information that becomes public without breach."
Cornell's definition of a trade secret explains why the clause must describe the steps you take to keep information secret (trade secret).
Use a mutual NDA when both sides disclose, and a one-way NDA when only the hospital does.
[figure 1]
Mutual vs One-Way NDA
Mutual NDA
- Use when
- Both share info
- Example
- Joint research
- Complexity
- Higher
- Obligations
- Both bound
One-Way NDA
- Use when
- One side shares
- Example
- Hospital to sponsor
- Complexity
- Simpler
- Obligations
- Recipient bound
Carve out scientific communication, or the clause collides with the partner's charter. A public university may have to release records on request.
Material transfer: name the field of use
An MTA covers cell lines, plasmids, and reagents. List the materials, the permitted assay, and the limits on further distribution. Say who owns modifications and who pays handling fees.
Sample wording: "Materials may be used solely in the named assay at the Recipient's Boston facility and may not be transferred to a third party without prior written consent."
Transfer offices expect assay descriptions that follow published measurement guidance. NIST publishes biotechnology standards and reference material (Biotechnology | NIST).
Name one internal signer. Our guide to SOP templates covers what belongs in each section of an intake procedure.
Publication delay and the outside date
Publication review runs 30 to 60 days in most templates. Boston technology transfer offices redline it past 90 days often enough that sponsors should plan for it. Set an outside date, and make silence count as approval.
Sample wording: "The Institution may submit for publication 45 days after delivery to the Sponsor and may proceed if the Sponsor does not respond in that period."
The window exists to strip confidential information and to file patents. A slow sponsor can block its own filing, so name the person who must answer.
IP, data and background rights
Ownership language decides who holds inventions made during the study: the sponsor, the institution, or both. Joint ownership reads as fair and complicates licensing, since either owner may license without the other's consent. Say who owns background IP brought into the project, and who owns the data set after the study closes.
Sample wording: "Inventions conceived in the performance of the Research are owned by the Sponsor, with a non-exclusive license back to the Institution for research use."
The Bayh-Dole Act (35 U.S.C. 200 to 212) applies when NIH money supported the work. The institution reports the invention and may retain title, with a license to the government.
Investor terms in the same package
Investors read research agreements during diligence. They look for clean IP ownership, confidentiality protection, and no conflicting grants. Put invention assignment for employees and contractors in the same package.
Add a disclosure schedule listing every prior agreement that touches the technology. Require prompt notice of any third-party claim against the company's IP.
The FTC enforces the FTC Act's ban on unfair or deceptive acts and practices, which reaches some data security promises (Statutes | Federal Trade Commission).
When you pitch a hospital or a fund, work from proposal templates built around the recipient's own questions, because a generic pitch invites a longer review.
Redlines Boston hospitals send back
Technology transfer offices redline three points most often. Expect each to move toward the institution on the first pass.
| Clause | Common redline | Workable answer |
|---|---|---|
| Indemnification | Sponsor covers the institution's own negligence | Split fault by comparative negligence, agreed before signature |
| Publication | Review period past 90 days | Outside date, with silence meaning approval |
| Improvements | Joint ownership of improvements | One owner, with a research license back |
Budget terms belong in the same review. Some Boston hospitals bill monthly against a letter of credit, and a late payment can pause enrollment.
Example: a cell line licensed from a Boston hospital
A startup licenses a cell line from a Boston teaching hospital. The MTA permits one assay. Confidentiality covers the hospital's unpublished results. Publication may proceed 45 days after submission. The startup owns inventions made with the cell line, with a research license back. Employment agreements assign inventor rights to the company.
Keep every concession in one controlled document. Our policy templates explain the difference between a policy and a procedure, which is the level of document that suits those decisions.
