NDA Template for Employees and Contractors: One-Way vs Mutual

A one-way NDA template binds only the receiver while a mutual NDA template binds both sides. Clause text for each, and which fits your contractor hire.

What to take away

  • A one-way NDA template for employees and contractors binds only the receiving party. Use it when one side holds the secret: an at-will employee or a contractor reading customer lists, pricing or source code.
  • A mutual NDA template binds both parties. Use it when two companies trade information before a deal, a joint bid or a vendor review.
  • The clause that changes between versions is the direction of the duty. Definitions, exclusions, term and return-or-destroy language stay the same.
  • Neither version stops a former worker from competing, and neither assigns inventions. Those need separate documents.
  • California Business and Professions Code section 16600 voids most employee non-competes, so confirm your state's rules with a licensed attorney.

The clause text, both versions

Below is the working skeleton for an NDA template for employees and contractors. Bracketed fields are yours to fill. The one-way version uses these clauses.

1. Parties. This Agreement is between [Disclosing Party] and [Receiving Party], effective [date].

2. Purpose. The Receiving Party will evaluate or perform [describe work or deal].

3. Confidential Information. Confidential Information means non-public business, technical and financial information disclosed by the Disclosing Party. It includes customer lists, pricing, margins, source code, designs, forecasts and vendor terms. It may be written, oral or electronic.

4. Exclusions. Confidential Information does not include information that is public through no fault of the Receiving Party, independently developed without use of the disclosed information, or rightfully received from a third party without a duty of confidence.

5. Obligations. The Receiving Party shall hold the Disclosing Party's Confidential Information in confidence and shall not disclose it to any third party without prior written consent. The Receiving Party shall use it only to perform the Purpose. The Receiving Party shall protect it with at least reasonable care.

6. Term. This duty survives termination of this Agreement for [two to five] years. It lasts indefinitely for information that qualifies as a trade secret under the governing state's law.

7. Return or Destruction. On request, the Receiving Party shall return or destroy all Confidential Information and confirm that step in writing.

8. Governing Law. This Agreement is governed by the laws of [state].

9. No License. Nothing here grants a license to inventions, copyrights or trademarks.

10. Whistleblower Notice. An individual may disclose a trade secret to a government official or attorney solely to report or investigate a suspected violation of law, or under seal in a court filing. An employer must include this notice to recover exemplary damages and attorney fees under the Defend Trade Secrets Act.

A mutual NDA replaces clause 5 with:

Mutual Confidentiality. Each party may disclose Confidential Information to the other. Each party, when receiving, shall hold the other's Confidential Information in confidence, use it only for the Purpose, and protect it with at least the care it applies to its own confidential information. These duties run in both directions and survive termination for [two to three] years.

Everything else in the document is shared. Both versions define Confidential Information. They list exclusions:

Exclusions

  • public knowledge
  • independently developed
  • rightfully received from a third party

They set the term. They require return or destruction on request. They name the governing state. The overview of non-disclosure agreements covers the shared architecture.

The one-way version is what most American workers meet first, handed over on the first morning as an employee confidentiality agreement template. The mutual version arrives later, when two companies trade information before a deal.

Filling the four fields that matter

  1. Who discloses today, and who might disclose within the year.If only one side will ever hand over information, one-way is correct. If both might, draft mutual.
  2. The term. Two to five years suits ordinary business information. Trade secrets are often left open-ended, since a lapsed term can weaken the claim.
  3. The governing state.Trade secret rules are set state by state. Name one.
  4. Employee or contractor. This changes the scope and control language. IRS guidance on worker status frames the distinction around control, not job title.

Contractors sign a near copy of the employee version, but the scope clause should track the statement of work, not a job description. Contractors who bill for that work need clean records. The checklist for invoices and receipts software covers what to keep when payments touch protected pricing.

A mutual NDA often sits ahead of a formal bid, and the proposal templates that hold up against an incumbent buyer show where that sequence usually turns. The signed copy usually travels with a cover letter, and the business letters checklist sets out what a formal delivery letter needs.

What neither version does

Both share one hard limit. Neither stops a person from working for a competitor or from using general skills picked up on the job. California Business and Professions Code section 16600 voids most non-competes for employees, so that protection needs a separate document and a state-specific review.

California Non-Compete Limit

California Business and Professions Code section 16600

Voids most non-competes for employees

Needs separate document and state review

Both also fail if the owner never restricted access. The definition of a trade secret explains why protection depends on reasonable secrecy measures, not on the paper alone.

Federal law adds a clause many templates skip: an employer must include a whistleblower immunity notice to recover exemplary damages and attorney fees under the Defend Trade Secrets Act. If the material covers pricing and margin data, a profit and loss forms template keeps those figures in one place.

A mutual NDA signed by a party that never discloses anything is a one-way NDA with extra stationery.

Common questions

Does a one-way NDA also protect the signer?

No. It protects the disclosing party only. An employee who wants cover for their own ideas needs an invention assignment clause, drafted separately.

How long should the term run?

Two to five years suits ordinary business information. Trade secrets are often left open-ended, since a lapsed term can weaken the claim. Name the governing state so the term has a reference point.

Can one contract serve both purposes?

Yes. Draft the mutual version, then add a schedule listing what each side discloses. Remove the schedule and it becomes one-way.

What clause changes between the one-way and mutual versions?

The obligations clause. The one-way version binds only the Receiving Party. The mutual version makes both parties Receiving Parties when they receive information.

Is a template enough without a lawyer?

For routine hiring and small contractor work, a clear governing state clause covers most of it. Equity, source code ownership and any non-compete call for review by a licensed attorney in your state.
